DPL Reports Executives' 2009 Salaries ; President and CEO Will Make $675,000 Plus a Cash Incentive Award, Company Says.

DAYTON -- Paul M. Barbas, president and chief executive officer of DPL Inc., will be paid a base salary this year of $675,000. He could earn a cash incentive award of up to 75 percent of that amount, in addition to stock awards, the company said.

DPL, owner of Dayton Power and Light Co., has informed federal regulators of salaries and potential cash bonus awards for its top six corporate executives for this year. DPL's board of directors disclosed the figures in a filing Tuesday, March 3, with the Securities and Exchange Commission.

The company hired Barbas in October 2006 at a base salary of $480,000. That increased to $530,000 in 2007. The company is to report its 2008 executive compensation numbers in a proxy statement and annual report scheduled to be mailed to shareholders in about two weeks, in preparation for DPL's annual meeting of shareholders April 29 at the Dayton Convention Center.

DPL's board said performance of the senior executives -- and how much of a bonus they are awarded -- is to be measured against management objectives including the company's earnings per share at the end of 2009 and year-end cash flow from operations.

The other executive officers listed, their 2009 base salaries and possible cash award earnings for 2009 performance:

- Frederick J. Boyle, senior vice president, chief financial officer, treasurer and controller: $330,000, and up to 50 percent of that amount in possible cash incentive.

- Daniel J. McCabe, senior vice president and chief administrative officer: $273,000, and 45 percent.

- Arthur G. Meyer, senior vice president, corporate and regulatory affairs: $266,200, and 45 percent.

- Gary G. Stephenson, senior vice president, generation and marketing: $319,400, and 50 percent.

- Douglas C. Taylor, senior vice president, general counsel and corporate development: $291,200, and 45 percent.
