operator, announces that it has submitted an offer, subject to
conditions, for the acquisition of 100% of the issued and outstanding
share capital of MIRS Communications Ltd. ("MIRS") and/or MIRS
operations from Motorola Israel Ltd. MIRS is a cellular company which
operates in Israel using the iDEN technology and whose market share is
estimated at 4% to 5%.

that an agreement will be reached as the offer is subject to conditions
