This non-brokered private placement with accredited investors consists of a maximum of 1,500,000 units for a maximum amount of $150,000. Each unit consists of one SIRIOS Common Share at $0.10 per share and one warrant. Each warrant will entitle its holder thereof to subscribe to one Common Share at $0.16 per share for a period of 12 months after the closing date and at $0.18 during the following 12 months. An amount of $64,000 was subscribed to in the first closing. There will be a hold period of 4 months on all securities issued under this financing.
