Allscripts and certain of its senior executives are charged with issuing
materially false and misleading statements, during the Class Period, in
violation of federal securities laws.
On April 27, 2012, shares of Allscripts fell $5.72, to close at $10.30,
after the Company announced operating results for 1Q:12, that were
sharply below guidance. At that time, investors first learned of the
problems that had been adversely impacting the Company throughout the
Class Period. At that time, the Company also disclosed the termination
of its Board Chairman; the resignation of three directors; and the
resignation of Allscripts’ Chief Financial Officer.
