1. Sale was effected pursuant to a Rule 10b5-1 trading plan entered into by the reporting person on December 12, 2008.
2. The price reported represents the weighted average price of shares sold. The shares sold on April 16, 2009 by each of (i) the reporting person directly, (ii) the Andrew M. Senchak 2007 GRAT and (iii) the Andrew M. Senchak 2006 GRAT were sold at varying prices in the range of $24.00 - $24.16. The shares sold on April 17, 2009 by each of (i) the reporting person directly, (ii) the Andrew M. Senchak 2007 GRAT and (iii) the Andrew M. Senchak 2006 GRAT were sold at varying prices in the range of $24.00 - $24.39.
