1. Annual grant of a nonqualified stock option to the Reporting Person made pursuant to the Issuer's 2006 Long-Term Incentive Plan in a transaction exempt under Rule 16b-3 of the Securities Exchange Act of 1934, as amended.

2. The stock option becomes exercisable in 33 1/3% increments on each of the first, second and third anniversary dates of the May 22, 2009 option grant date.
