1. Represents transfer of funds out of the Common Stock fund of the Waste Management, Inc. 401(k) Plan. Includes 1,524.6696 shares acquired under the 401(k) Plan since December 31, 2008.

2. Represents total number of shares of Common Stock held directly by Mr. Trevathan, which is 13,587.2637 fewer shares than previously reported based on prior Forms 4 incorrectly reporting those shares, which were held indirectly through the Waste Management, Inc 401(k) Plan prior to the transaction being reported on this Form 4, as directly owned by Mr. Trevathan.
