Explanation of Responses:
1. This Form 4 is being filed to report the disposition of the shares of Class A Common Stock of IHS Inc. (the "Shares") identified in table above by Conscientia Investment Limited ("Conscientia") in an underwritten secondary offering registered under the Securities Act of 1933, as amended (the "Offering"). The Reporting Person is a direct wholly-owned subsidiary of TB Continuity II Trust (the "Trust"), and Conscientia is an indirect wholly-owned subsidiary of the Trust. Prior to the disposition of the Shares being reported on this Form 4, the Trust was, and the Trust continues to be, the ultimate beneficial owner of the shares of Class A Common Stock of IHS Inc. that were not sold in the Offering. The Trust, Kaszony Limited (the trustee of the Trust), Conscientia and certain other subsidiaries of the Trust are each filing a Form 4 to report the change in their beneficial ownership of the Shares.
