Highland Credit Strategies Fund Announces Completion of the Reorganization of Highland Distressed Opportunities, Inc. Into HCF and Share Conversion Price

Highland Credit Strategies Fund (NYSE: HCF) announced today the completion of the merger of Highland Distressed Opportunities, Inc. (NYSE: HCD) into HCF Acquisition LLC, a wholly-owned subsidiary of HCF (the "Merger").
HCF Acquisition LLC will subsequently dissolve and liquidate and transfer its assets to HCF. The Merger was based on HCD's and HCF's relative net asset values as of 4:00 p.m. on Friday, June 12, 2009.
HCD reported a net asset value per share of $2.90 and HCF reported a net asset value per share of $6.28 as of 4:00 p.m. on Friday, June 12, 2009.

Highland Distressed Opportunities, Inc. Announces Final Distributions and Expected Timing of Merger into Highland Credit Strategies Fund

Highland Distressed Opportunities, Inc. (the "Company") (NYSE: HCD) today announced that its Board of Directors has declared two pro rata dividend distributions on its common stock, which will be comprised of all of the Company's remaining (i.e. not previously distributed) net investment income (if any), net short-term capital gain (if any), and net long term capital gain (if any) for (i) the short taxable year of the Company beginning on January 1, 2009 and ending at the effective date of the Merger (as defined below), and (ii) the taxable year of the Company ended December 31, 2008.
Each pro rata distribution will be paid to the Company's stockholders of record at the close of business on the day immediately prior to the effective date of the Merger.
The "Merger" is the merger of the Company with and into HCF Acquisition LLC, a wholly owned subsidiary of Highland Credit Strategies Fund as part of the reorganization of the Company into Highland Credit Strategies Fund.

Highland Distressed Opportunities, Inc. (the “Company”) (NYSE: HCD) announced today that on April 14, 2009, the Company executed Amendment No. 2 (the “Amendment”) to the Revolving Credit and Security Agreement (the “Credit Agreement”) with Liberty Street Funding LLC, as conduit lender, and The Bank of Nova Scotia, acting through its New York agency, as secondary lender and agent. Under the Amendment, the maximum amount the Company may borrow on a revolving basis was reduced from $60 million to $10 million. The Amendment was entered into at the Company’s request and will reduce the commitment fee payable by the Company. The amount the Company may borrow is subject to the satisfaction of certain conditions including compliance with borrowing base tests and asset coverage limits. The Credit Agreement expires on May 29, 2009 and borrowings thereunder are secured by substantially all of the assets in the Company’s portfolio, including cash and cash equivalents.[More...]

(the “Company”) (NYSE: HCD) today announced that a Special Meeting of Stockholders will be held on May 27, 2009, at 8:00 a.m. Central Time at The Westin Galleria, 13340 Dallas Parkway, Dallas, TX 75240. Stockholders of record as of the close of business on April 21, 2009 will be asked to vote on a proposed reorganization of the Company into Highland Credit Strategies Fund, as further described in the supplemented proxy statement/prospectus expected to be mailed the week of April 20. The Company has called a new meeting and is re-soliciting stockholders because the original meeting date was not within the period required under the Delaware corporate law provision governing the number of days between the record date and meeting date. (the “Company”) (NYSE: HCD) today announced that due to a potential issue relating to the record date for the special meeting of stockholders of the Company previously called to consider the reorganization of the Company into Highland Credit Strategies Fund (NYSE: HCF), it expects to set a new record date and meeting date and to re-solicit Company stockholders. The Company also stated that stockholders who had submitted proxies had voted overwhelmingly (over 95%) in favor of the reorganization, although there can be no assurances that stockholders will vote in favor of the reorganization at the upcoming meeting. The Company expects to mail supplemented proxy materials later this month.
