Mel Karmazin Extends Contract Through 2012

Sirius XM announced today that Mel Karmazin’s employment agreement has been extended through December 31, 2012. The new deal gives Mr. Karmazin a raise in his base salary, as well as the options to buy 120 million shares at a price of $0.43 per share. Karmazin, a long time radio industry guy, joined Sirius Satellite Radio in 2004. His deal was scheduled to expire in the fall of this year and could have been a potential worry for the street. Over his tenure, Mel was able to bring about a merger with XM, but has also been at the helm[More...]

This is the 1st Quarter 2009 edition of our ongoing hedge fund portfolio tracking series. Before reading this update, make sure you check out the Hedge Fund 13F filings series preface. Next up, we have Tremblant Capital Group. Tremblant is a $3 billion hedge fund based in New York and is run by Bret Barakett, who is a former portfolio manager at Moore Capital Management (the hedge fund run by the great Louis Bacon, whom we also track). If the last name of 'Barakett' sounds familiar, its because his brother, Timothy Barakett, manages fellow hedge fund Atticus Capital, whose portfolio we recently covered. Taken from their site, Tremblant Capital Group's objective is "to achieve superior risk adjust returns[More...]

Liberty Media will be holding their Q1 2009 conference call at 12:00 PM EST in Boston. While the conference call will not likely speak directly to Sirius XM Radio, it is a unique opportunity to hear Liberty’s Gregory Maffei speak. Maffei has been tapped to join the Board of Sirius XM radio, and fills one of the three seats sought by Liberty. Because of the number of shares Liberty owns, they have the right to select up to six board members at Sirius XM Radio. One of Maffei’s main responsibilities with Liberty[More...]

East Meets West In Satellite Radio

Whether real or simply perceived, there seems to exist a stark difference in how business is conducted east and west of the Mississippi River. Eastern based businesses tend to more staunch and more conservative. Western based businesses seem to be more innovative and think more outside of the box. One is not necessarily better than the other, it just seems that there are differing mindsets based on geography. Having lived on the west coast, as well as the east coast, and being a frequent traveller, I have a diverse and keen perspective how different things can be even in our own country. One thing is certain. The east coast has been hesitant to give up the suit, tie, and cuff links, while executives out west tend[More...]

Liberty Media (LMDIA: 17.52, -0.48 (-2.67%)) has been in the news a lot lately, due to CEO John Malone’s recent bailout of Sirius XM Radio (SIRI: 0.198, +0.0066 (+3.45%)). This article is not about that deal, however. This article is an attempt to explain the structure of Liberty Media, which is sure to confuse most amateur investors, as well as some professional ones. This is because Liberty uses “tracking stocks,” which have not been popular since the dot-com days of the 90’s.<span[More...]

RBC And Barclay’s Weigh In On Sirius XM

Now that there has been a ton of news on Sirius XM Radio, the analysts are once again getting to the business of issuing reports on the company. The infusion from Liberty has not only given Sirius XM new life, but investors as well. After months of doom and gloom, there is actually news that can deliver a positive outcome. RBC analyst David Bank see the $530million investment from Liberty Media as a positive that helps SIRI avoid bankruptcy by addressing 2009 debt refinancing obligations. However, Bank considers the deal extremely dilutive to existing shareholders via preferred convertible shares to be issued to Liberty (for free). Bank estimates that the share count will come in at 6.2 billion. The firm maintains a sector perform rating, and still has not established a price target. Vijay Jayant of Barclay’s issued a report focusing on Liberty, but for obvious reasons included a section on Sirius XM Radio.
Liberty Announces Semi-Annual Payment on 3.5% Senior Exchangeable Debentures Due 2031

Liberty Media LLC , a subsidiary of Liberty Media Corporation , announced a semi-annual payment to the holders of its 3.5% Senior Exchangeable Debentures due in 2031 . The amount of the payment is $17.50 per $1,000 of original principal amount of the Debentures. This semi-annual payment will result in the further reduction of the adjusted principal amount of the Debentures. As previously announced, the principal amount of the Debentures was reduced in the amount of $162.616 per Debenture, resulting in an adjusted principal amount equal to $837.384 per Debenture. This adjustment resulted from an extraordinary distribution of cash that was paid to bondholders on January 10, 2007 in accordance with the indenture governing the Debentures . This extraordinary distribution arose from Freescale Semiconductor's merger with an entity controlled by a consortium of private equity firms in exchange for cash. At that time, Liberty announced that, in accordance with the Indenture, the adjusted principal amount of the Debentures would be further reduced on each successive semi-annual interest payment date to the extent necessary to cause the semi-annual payment on that date to represent the payment by Liberty, in arrears, of an annualized yield of 3.5% of the adjusted principal amount of the Debentures. The adjustments described above will not affect the amount of the semi- annual payments received by holders of the debentures, which will continue to be a rate equal to 3.5% per annum of the original principal amount of the Debentures. Below is a detail of the amount of the payment being made on the Debentures, its allocation between payment of interest and repayment of principal and the revised adjusted principal amount resulting from the payment, per $1,000 of original principal amount of the Debentures: July 15, 2009 July 15, 2009[More...]
