AtheroGenics (AGIX) just reported that top-line ANDES data showed a dose dependent response and statistically significant reduction in A1c at the six month period. However, we would categorize the reduction as only modest at 0.6% for the highest (150mg) dose, and continued signs of elevate liver activity give us cause to remain skeptical of the eventual commercial potential of AGI-1067. Until a large development partner validates the program we choose to remain skeptical of AGI-1067. We are still not comfortable with the side effect profile on it, and with recent topline efficacy data showing only modest reduction in A1c levels, we are struggling to find exactly what differentiating characteristics AGI-1067 will contain in the approved label relative to other oral anti-diabetic medications. Ligand to Acquire Metabasis for Cash and Contingent Value Rights

Ligand Pharmaceuticals Incorporated (NASDAQ: LGND) and Metabasis Therapeutics, Inc. (NASDAQ: MBRX) announced today they have entered into a definitive merger agreement under which Ligand will acquire all of the outstanding shares of Metabasis.
The CVRs will entitle Metabasis stockholders to cash payments as frequently as every six months as cash is received by Ligand from proceeds from the sale or partnering of any of the Metabasis drug development programs, among other triggering events.

Metabasis Therapeutics Receives Notice of Noncompliance With Nasdaq Listing Requirements

Metabasis Therapeutics, Inc. (Nasdaq: MBRX) announced today that on September 15, 2009, the Company received a letter from the Listing Qualifications Department of The Nasdaq Stock Market ("Nasdaq"), notifying the Company that based upon the closing bid price of its common stock for the last 30 consecutive business days, the Company did not maintain a minimum closing bid price of $1.00 per share or more that is required for continued listing on the Nasdaq Capital Market under Nasdaq Listing Rule 5550(a)(2).
If at anytime during this grace period the closing bid price of the Company's common stock is $1.00 per share or more for a minimum of 10 consecutive business days, Nasdaq will provide the Company with written confirmation of regained compliance.

Metabasis Therapeutics Receives Notice of Delisting From Nasdaq Capital Market

Metabasis Therapeutics, Inc. (Nasdaq:MBRX) announced today that on September 4, 2009 it received a letter from the Listing Qualifications Staff of The Nasdaq Stock Market (the "Staff") notifying the Company that it did not comply with the minimum $2,500,000 stockholders' equity requirement for continued listing, set forth in Listing Rule 5550(b), prior to the expiration of the extension for such compliance granted by the Staff on June 25, 2009, and that as a result, unless the Company requests an appeal of the Staff's delisting determination, trading of the Company's common stock on the Nasdaq Capital Market will be suspended at the opening of business on September 15, 2009.
The Company plans to request a hearing before the Nasdaq Listing Qualifications Panel to appeal the Staff determination to delist the Company's common stock.
The hearing is expected to be scheduled within 30 to 45 days of the Company's request, which the Company will submit on or about September 10, 2009.

Metabasis Therapeutics, Inc. (Nasdaq: MBRX) announced today a corporate restructuring that will reduce its workforce by approximately 85%, or 45 employees.
However, in the event the Company is unable to raise capital in the near-term it may be forced to cease its operations entirely.
If the Company submits the plan and it is accepted by Nasdaq, Nasdaq may grant an exception of up to 105 days from the date of this letter to permit the Company to regain compliance with the applicable listing requirements.
