Many investors, including myself, feel that the market is due for a correction. Some predict with the increased national debt, weaker dollar and a Congress unwilling to grasp both, even worse things may occur that will effect our standard of living now and, especially, in the future. One sector that may withstand a negative outlook are food processors. I used a computer screen to isolate those with anticipated growth of 10-25% next year. All appear stable and quite a few are international in scope. I must admit to having several obscure companies grace my computer screen. I did investigate all of them to a certain degree and without exception they look quite acceptable for investment consideration. You may decide to explore the companies on this roster for further study and, perhaps, inclusion within the defensive elements of your portfolio. I am. The third largest US auto maker filed for Chapter 11. Chrysler announced it will temporarily halt most vehicle production while it completes a deal with Italian car maker Fiat to resume car production. The failure of Chrysler was expected, but when it happens it always a shock. Chrysler will still sell cars (they have plenty in inventory) & the gov would back its auto warranties. Its plants will be idled during the legal proceedings. Jun. 30--Houston billionaire Dan Duncan reshuffled his energy empire Monday with a blockbuster deal that will combine two of his affiliates into the nation's largest publicly traded oil and gas pipeline company.
But Enterprise Products Partners' $3.3 billion acquisition of Teppco Partners does more than spawn a bigger company, with nearly 48,000 miles of pipelines, dozens of oil and gas storage terminals and other assets.
The all-stock deal also puts Enterprise in several new businesses, including marine barging of oil and natural gas products and operation of pipelines that carry gasoline, diesel fuel and other refined products.

Enterprise-Teppco Merger Will Create Pipeline Giant

Jun. 29--Enterprise Products will acquire Teppco Partners in a $3.3 billion deal that forms a massive new player in the oil and gas pipeline and storage business, the companies said today.
Both companies are associated with the business empire of Houston billionaire Dan Duncan.
The move, which comes after Teppco rebuffed a lower offer earlier this year, creates a company with nearly 48,000 miles of pipelines, 60 terminals for storing natural gas liquids, refined products and chemicals, one of the largest natural gas liquids import and export terminals in the U.S. at the Houston Ship Channel and other assets.

(NYSE:MLP) reported a net loss of $54.2 million or $6.75 per share for the second quarter of 2009 compared to net income of $272,000 or $0.03 per share for the second quarter of 2008. The loss for the second quarter of 2009 included a charge of $21.3 million for the decrease in value of the Company’s investment in Kapalua Bay Holdings, LLC; charges of $14.2 million for the write off of development plans that are no longer considered feasible due to changes in market conditions; and a charge of $1.9 million representing an adjustment to estimated fair value less cost to sell of certain real estate that the Company has classified as held for sale.[More...]

Maui Land & Pineapple Company, Inc. (NYSE: MLP) reported a net loss of $13.2 million or $1.65 per share for the first quarter of 2009 compared to a net loss of $414,000, or $0.05 per share for the first quarter of 2008. Consolidated revenues were $15.6 million for the first quarter of 2009 compared to $25.4 million for the first quarter of 2008, a decrease of 39%. Results in the first quarter of 2009 largely reflect the continuing impact of the national and worldwide economic uncertainty that has resulted in reduced visitor counts to Maui and the State of Hawaii and slower sales of real estate. Approximately $10.5 million of the increase in the net loss resulted from the year-over-year decrease in profit from the Company’s equity investment in Kapalua Bay Holdings LLC. The Company’s $50 million cash sale of the Plantation Golf Course in March 2009 was accounted for as a financing transaction and, accordingly, no gain was recognized in the first quarter of 2009.[More...]

(NYSE:MLP) today announced that it has entered into a definitive agreement for the sale of The Plantation Course to TY Management Corporation, a Hawai‘i corporation, for $50 million. Under terms of the sale, which is expected to close before the end of March, Kapalua Plantation Golf LLC, a subsidiary of MLP, will enter into a renewable two-year lease to operate The Plantation Course on behalf of the new owner. Maui Land & Pineapple Company, Inc. (NYSE: MLP) reported a net loss of $70.6 million ($8.86 per share) for the fourth quarter of 2008 compared to a net loss of $4.0 million ($.51 per share) for the fourth quarter of 2007. Revenues for the fourth quarter of 2008 were $16.8 million compared to $25.9 million for the fourth quarter of 2007. The loss for the fourth quarter of 2008 reflects lower results in all of the Company’s business segments, in particular the Community Development segment where the Company recorded a loss from its equity interest in Kapalua Bay Holdings and an impairment charge for the decrease in value of the investment totaling $45.3 million. The Community Development segment also recorded fourth quarter 2008 charges of $10.6 million for deferred development costs that are not expected to be recovered. In addition, in the fourth quarter of 2008, the Company recorded a valuation allowance against its deferred tax assets that increased the net loss by $23.6 million.[More...]

(NYSE:MLP) today announced that it concluded a financing agreement to complete construction of its joint venture project, The Ritz-Carlton Club and Residences at Kapalua Bay. After filing for bankruptcy in September 2008, the joint venture’s lead lender, Lehman Brothers Holdings, Inc. (Lehman), discontinued its funding of the project.
