Spanish Broadcasting System, Inc. Is Notified of Non-Compliance With Nasdaq Audit Committee Requirements

COCONUT GROVE, Fla., Aug. 31, 2009 (GLOBE NEWSWIRE) -- Spanish Broadcasting System, Inc. ("SBS") (Nasdaq:SBSA) today announced that it received a letter from The Nasdaq Stock Market, Inc. ("Nasdaq") on August 27, 2009 indicating that the Company was no longer in compliance with the audit committee requirements as set forth in Nasdaq Marketplace Rule 5605 ("Nasdaq Rule").
The Nasdaq Rule requires a listed issuer to have an audit committee consisting of at least three directors who meet the Nasdaq Rule's independence and financial sophistication standards.
The Company has a cure period until the earlier of its next annual shareholders' meeting or August 11, 2010 to comply with the requirements of the Nasdaq Rule.

Raul Alarcon, Jr., Chairman and CEO, commented, "During the second quarter, we continued to implement our multi-platform growth strategy, while maintaining a disciplined approach to cost-management.
Our overall results were impacted by the continued nationwide advertising slowdown, offset in part by our success in reducing expenses via our restructuring plan.
For the quarter ended June 30, 2009, consolidated net revenue totaled $37.1 million compared to $45.2 million for the same prior year period, resulting in a decrease of $8.1 million or 18%.

NASDAQ Suspends Spanish Broadcasting Systems Delisting Process

COCONUT GROVE, Fla., Oct. 30 /PRNewswire-FirstCall/ -- Spanish Broadcasting System, Inc. (the Company or SBS) (Nasdaq: SBSA), today announced that on October 22, 2008, the Company received notification from The NASDAQ Stock Market ("NASDAQ") that NASDAQ has temporarily suspended the enforcement of its minimum bid price rules because of extraordinary market conditions.
SBS received a written notification from NASDAQ on August 20, 2008, indicating that the minimum bid price of the companys common stock had fallen below $1.00 for 30 consecutive trading days, and that it was therefore not in compliance with NASDAQ Marketplace Rule 4450(b).
The notice further provided that in accordance with the NASDAQ Marketplace Rules, the Company will be provided 180 calendar days, or until February 17, 2009, to regain compliance with the minimum bid price requirement.
