Broadcom Updates Guidance for Fourth Quarter 2008 Results


Due to the current global economic environment, customers across each of Broadcom's targeted end markets have requested adjustments in their deliveries for the fourth quarter, resulting in significant pushouts and cancellations since the Company originally provided guidance for the quarter in October 2008.

Broadcom now anticipates:

Q4 2008 Net revenue

New guidance: $1,050 to $1,100 million including AMD Digital TV (DTV) acquisition.

Prior guidance: $1,170 to $1,235 million excluding AMD DTV acquisition.

Q4 2008 Gross margin

New guidance: Broadcom's gross margin is expected to be down 105 to 130 basis points sequentially excluding the AMD DTV business. Including a negative 20 basis point impact associated with acquisition related accounting for AMD's DTV business inventory, gross margin is expected to be down 125 to 150 basis points.

Prior guidance: Down 50 to 75 basis points sequentially excluding the AMD DTV acquisition.

All new guidance excludes one-time and acquisition related charges.

Samsung Selects Broadcom's Third Generation Blu-ray Chipset Solution to Power Blu-ray Products in Its 2009 Lineup

Broadcom today announced that its third generation Blu-ray chipset solution has been selected by Samsung Electronics Co., Ltd. to power products in its 2009 lineup of Blu-ray Disc® players and home theater systems. Broadcom's newest chipset solution provides all of the processing functionality to enable playback of the Blu-ray optical disc format, enabling Samsung to introduce next generation Blu-ray Disc players based on this technology as early as the first quarter of 2009.

Broadcom today announced that GN, one of the world's leading manufacturers of Bluetooth® audio headsets, is now shipping multiple Jabra® headset products based on Broadcom's leading Bluetooth technology. The new Jabra headsets offer superior audio quality and ease of use, delivering a premium headset experience in sleek and stylish industrial designs. These new headsets are based on the Broadcom® BCM2044 single-chip Bluetooth system-on-a-chip (SoC) solution that integrates a Bluetooth radio, baseband and advanced audio processing on a single piece of silicon. Wireless headsets comprise one of the top sub-segments of the large and burgeoning Bluetooth device market, with ABI Research projecting that more than 100 million units will be sold in 2009. Appeals Court Affirms District Court Ruling That Qualcomm Abused Standards Setting Process and Engaged in Litigation Misconduct

Broadcom Corporation announced that the U.S. Court of Appeals for the Federal Circuit today upheld a decision by a federal judge in San Diego that Qualcomm violated its duty to disclose its patents to a standards body and that, as a result, the patents are unenforceable against products practicing the standard at issue. In today's ruling, the appeals court agreed with the district court "that Qualcomm intentionally organized a plan to shield its patents from consideration by the JVT, intending to later obtain royalties from H.264-compliant products."

Qualcomm Again Held in Contempt of Injunction on 3G Cellular Products Previously Found to Infringe Broadcom Patent

Broadcom Corporation announced that a federal judge yesterday found Qualcomm Incorporated in contempt of an injunction entered last December that was designed to prevent Qualcomm from continued infringement of two Broadcom patents. As to Broadcom's U.S. Patent No. 5,657,317, the injunction prohibits Qualcomm from making, using, selling, offering for sale, importing, and developing certain EV-DO chips. The injunction also provides a sunset period during which Qualcomm can continue to sell legacy EV-DO chips to legacy customers until January 31, 2009, provided that it pays a royalty to Broadcom. U.S. District Court Judge James V. Selna found that Qualcomm violated both provisions of the injunction by selling and offering to sell enjoined EV-DO chips and by failing to pay royalties on legacy EV-DO chips.

Broadcom Completes Acquisition of Digital TV Business from AMD

Broadcom Corporation (Nasdaq: BRCM), a global leader in semiconductors for wired and wireless communications, today announced that it has completed the acquisition of AMD's (NYSE: AMD) digital TV (DTV) business. The acquisition is expected to enable Broadcom to immediately scale its DTV business, and, in conjunction with its existing products, offer a complete product line that covers all segments of the DTV market, ranging from low-end value and mid-range quality to high-end interactive platforms and panel processors. Broadcom now anticipates that AMD's DTV business will have fourth quarter revenue between $15 and $20 million, lower than previously expected. Accordingly, the parties agreed to reduce the purchase price from $192.8 million to $141.5 million in cash (in each case, minus certain accrued employee-related amounts). The anticipated dilutive impact to EPS of $0.04 to $0.05 per share in 2009, with the combined DTV business approaching EPS neutrality in the fourth quarter of 2009, has not changed.

Broadcom Reports Third Quarter 2008 Results

Net revenue for the third quarter of 2008 was $1.298 billion, an increase of 8.1% compared with the $1.201 billion reported for the second quarter of 2008 and an increase of 36.7% compared with the $950.0 million reported for the third quarter of 2007. Net income computed in accordance with U.S. generally accepted accounting principles (GAAP) for the third quarter of 2008 was $164.9 million, or $.31 per share (diluted), compared with GAAP net income of $134.8 million, or $.25 per share (diluted), for the second quarter of 2008, and GAAP net income of $27.8 million, or $.05 per share (diluted), for the third quarter of 2007.

U.S. International Trade Commission Affirms Infringement Ruling Against SiRF on Three GPS-Related Patents

Broadcom Corporation announced today that the U.S. International Trade Commission (ITC) has affirmed an Initial Determination that SiRF Technology Holdings infringes three GPS-related patents held by Global Locate, Inc., a wholly-owned subsidiary of Broadcom.The ITC also said that it would review the findings regarding three additional patents that SiRF was found to infringe.

Broadcom Files Suit Asserting Qualcomm's Licensing Practices Violate U.S. Law

Broadcom Corporation today announced that it has filed a complaint seeking a declaratory judgment that the sales and licensing practices of Qualcomm Incorporated amount to patent misuse, that Qualcomm patents are "exhausted" by Qualcomm's practices, and that Qualcomm's patents and patent licenses are unenforceable, under applicable U.S. law. The complaint, filed yesterday in the United States District Court for the Southern District of California in San Diego, asserts, among other things, that Qualcomm's use of "exhausted" patents to control post-sale use of products in the wireless communications industry results in a double recovery of royalties (or other consideration) to Qualcomm for the use of its patents. It further asserts that these practices constitute patent misuse that has brought Qualcomm a financial windfall and brought harm to the industry and consumers.

U.S. Appeals Court Affirms Jury Verdict That Qualcomm Infringes Two Broadcom Patents

Broadcom Corporation announced that the U.S. Court of Appeals for the Federal Circuit today upheld a unanimous jury verdict that Qualcomm cellular chips and software infringe two Broadcom® patents, and upheld the injunction entered by the district court on those two patents. The appeals court also rejected Qualcomm's request for a new trial. The court ruled that a third patent was invalid.

Broadcom to Acquire Digital TV Business from AMD

Broadcom Corporation and AMD today announced that the companies have entered into a definitive agreement for Broadcom to acquire AMD's digital TV (DTV) business. The acquisition of AMD's DTV business is expected to enable Broadcom to immediately scale its DTV business, and, in conjunction with its existing products, to offer a complete product line that covers all segments of the DTV market ranging from low-end value and mid-range quality to high-end interactive platforms and panel processors. The acquisition also is intended to expand Broadcom's existing tier one customer base, which includes the top DTV brands worldwide. This deal aims to enhance and strengthen Broadcom's innovative DTV system solution offerings while delivering the scale and focus needed to forge a market-leading DTV business. In connection with the acquisition, Broadcom will pay approximately $192.8 million in cash in exchange for AMD's DTV assets.

Broadcom Announces Leading Single-Chip Cable Set-Top Box Digital-to-Analog Adapter Solution

Broadcom Corporation today announced a new digital-to-analog (DTA) system-on-a-chip (SoC) solution that enables cable set-top box (STB) OEMs to provide cable operators with a cost effective device that transitions analog cable customers to digital broadcasting. International Trade Commission Upholds Patent Ruling Against SiRF

Broadcom Corporation announced today that the U.S. International Trade Commission (ITC) has denied the request of SiRF Technology Holdings, Inc. (SiRF) to review an Initial Determination that found no violation by Global Locate, Inc. of Section 337 of the Tariff Act of 1930. Global Locate is a wholly-owned subsidiary of Broadcom, acquired in July 2007. ITC Administrative Law Judge Paul Luckern had previously ruled that two of SiRF's GPS patents were not infringed by Global Locate and that the asserted claims of one of the patents were invalid, following a six-day trial last March. SiRF had already dismissed two additional patents from the case prior to trial.

ITC Judge Finds that SiRF Infringes Six Broadcom GPS Patents

Broadcom Corporation announced that a U.S. International Trade Commission (ITC) judge today ruled that products of SiRF Technology Holdings infringe six patents related to improving global positioning system (GPS) processing and sensitivity. The patents are held by Global Locate, Inc., a wholly-owned subsidiary of Broadcom.

Broadcom Announces New Share Repurchase Program

Broadcom Corporation announced that at its Board of Directors has authorized a new program to repurchase shares of Broadcom's Class A common stock having an aggregate value of up to $1.0 billion, depending on market conditions and other factors. Repurchases under the program may be made at any time during the period commencing July 31, 2008 and extending through and including July 31, 2011

Broadcom Reports Second Quarter 2008 Results

Net revenue for the second quarter of 2008 was $1.201 billion, an increase of 16.3% compared with the $1.032 billion reported for the first quarter of 2008 and an increase of 33.7% compared with the $897.9 million reported for the second quarter of 2007. Net income computed in accordance with U.S. generally accepted accounting principles (GAAP) for the second quarter of 2008 was $134.8 million, or $.25 per share (diluted), compared with GAAP net income of $74.3 million, or $.14 per share (diluted), for the first quarter of 2008, and GAAP net income of $34.3 million, or $.06 per share (diluted), for the second quarter of 2007.

Broadcom Found Not to Infringe SiRF Patents in ITC Ruling

Broadcom Corporation today announced that the U.S. International Trade Commission (ITC) rejected claims by GPS chipmaker SiRF Technology Holdings that two of its GPS patents were infringed by Global Locate, a company Broadcom acquired in July 2007. The ITC also found that the asserted claims of one of SiRF's patents at issue are invalid.

Broadcom Reports First Quarter 2008 Results

Net revenue for the first quarter of 2008 was $1.032 billion, an increase of 0.5% compared with the $1.027 billion reported for the fourth quarter of 2007 and an increase of 14.5% compared with the $901.5 million reported for the first quarter of 2007. Net income computed in accordance with U.S. generally accepted accounting principles (GAAP) for the first quarter of 2008 was $74.3 million, or $.14 per share (diluted), compared with GAAP net income of $90.3 million, or $.16 per share (diluted), for the fourth quarter of 2007, and GAAP net income of $61.0 million, or $.10 per share (diluted), for the first quarter of 2007.

Broadcom Acquires Sunext Design, Inc. for Optical Drive Technologies to Enable Single-Chip High Definition Blu-ray Disc® Players and Recorders

Broadcom Corporation today announced that it has acquired Sunext Design, Inc. ("Sunext Design"), a wholly-owned U.S. subsidiary of Sunext Technology Company Limited ("Sunext Technology"), and has licensed certain optical disk reader and writer technology from Sunext Technology. Sunext Technology is a privately-held fabless semiconductor company that specializes in optical storage technologies. Sunext Design, Inc. is headquartered in Sunnyvale, California, with a highly experienced design team. In connection with the transaction, which closed on Friday, February 29th, 2008, Broadcom will pay up to $48 million in cash in exchange for all of the outstanding shares of Sunext Design's capital stock and for the license rights granted by Sunext Technology.

Broadcom Awarded 3,000th U.S. Patent

Broadcom Corporation today announced that it has received its 3,000th issued United States patent, marking a significant milestone in the company's history of developing innovative and highly integrated semiconductor system-on-a-chip (SoC) solutions.  Issued by the U.S. Patent and Trademark Office on November 4th, U.S. patent number 7,447,275 covers a low power, high performance receiver for wireless systems (such as Bluetooth®). Broadcom now holds over 3,000 U.S. patents, over 1,300 foreign patents, and more than 7,600 additional pending patent applications. In an analysis conducted by an independent firm last fall, IEEE Spectrum magazine ranked Broadcom as having the eighth most powerful patent pipeline among the 1,000+ organizations identified as having the most influential U.S. patent portfolios, and the second most powerful in the semiconductor manufacturing category.

ITC Judge Recommends Halt to Importation of All Products Containing SiRF GPS Chips That Infringe Broadcom® Patents

Broadcom Corporation today announced that an Administrative Law Judge (ALJ) has recommended that the U.S. International Trade Commission (ITC) bar from importation into the U.S. infringing chips of SiRF Technology Holdings, and all downstream products that incorporate those chips. The affected products include personal navigation devices (PND), GPS modules and receivers, personal digital assistants (PDA), and cellular telephones. The ALJ also recommended that the ITC enter a Cease and Desist Order prohibiting SiRF from engaging in certain activities related to the infringing chips.
